Terms of Service

Please read these Terms of Service carefully before using Arca. By using our service you agree to these terms.

1. Agreement to Terms

By accessing or using Arca (the "Service", "Software", "App"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service.

These Terms constitute a legally binding agreement between you ("User", "you", or "your") and GRE Development Ltd. ("Company", "we", "us", or "our").

You must be at least 16 years old to use the Service. By using the Service, you represent and warrant that you meet this age requirement.

3. Description of Service

Arca is a desktop task management application designed for teams and individuals to organize work, collaborate in real-time, and track project progress. The Service includes:

  • Task management (creation, editing, assignment, tracking)
  • Workspaces, folders, and lists for organizing tasks
  • Real-time collaboration features (comments, reactions, @mentions)
  • File attachments and cloud storage
  • Custom labels, statuses, and workflow views
  • Calendar and timeline views (paid plans only)
  • Activity tracking and progress reports
  • Google Calendar integration (optional)
  • REST API access (paid plans only)
  • Data import and export tools

The Service is provided as a desktop application built on the Tauri framework. All features and limits are subject to your selected subscription plan.

4. Account Registration and Security

4.1 Account Creation

To use the Service, you must create an account by providing:

  • A valid email address
  • Your full name
  • A secure password (or authenticate via Google OAuth)

You must verify your email address by entering a one-time password (OTP) sent to your email during registration.

4.2 Account Security

You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized use of your account
  • Ensuring your password is strong and not reused across other services

We implement industry-standard security measures including password encryption, session management, and fraud prevention. However, no method of transmission over the internet is 100% secure.

4.3 Account Termination

You may delete your account at any time from the app settings. Account deletion is permanent and will result in immediate removal of your personal data, except where required by law (e.g., billing records retained for 7 years for UK tax compliance).

We reserve the right to suspend or terminate your account if you violate these Terms or engage in prohibited activities as defined in Section 6.

5. Subscription Plans and Pricing

5.1 Available Plans

Arca offers the following subscription plans:

  • Free: Limited to 200 tasks, 5MB file uploads, 5GB total storage, unlimited members. Does not include Calendar/Timeline views or API access.
  • Starter: $10 per user per month (or $8 per user per month when billed yearly). Unlimited tasks, unlimited file upload size, 20GB total storage, Calendar/Timeline views, API access, and 3 dashboard pages.
  • Business: $16 per user per month (or $13 per user per month when billed yearly). Unlimited tasks, unlimited file upload size, 100GB total storage, Calendar/Timeline views, API access, 10 dashboard pages, priority support, and account manager.

All paid plans are billed per user in the workspace. When you add or remove members, your subscription quantity is automatically adjusted.

5.2 Free Plan as Trial

Arca does not offer a dedicated trial period for paid plans. Instead, users can test the Service using the Free plan, which provides full access to core features with usage limits. You may upgrade to a paid plan at any time.

5.3 Payment Processing

All payments are processed securely by Stripe. We do not store your credit card information. By subscribing to a paid plan, you authorize Stripe to charge your payment method on a recurring basis according to your selected billing interval (monthly or yearly).

5.4 Price Changes

We reserve the right to change our pricing at any time. If we increase the price of your current plan, we will notify you at least 30 days in advance via email. Price increases will take effect at the start of your next billing cycle. If you do not agree to the new pricing, you may cancel your subscription before the price change takes effect.

5.5 Taxes

All prices are exclusive of applicable taxes (VAT, sales tax, etc.), which will be added at checkout based on your billing address. You are responsible for paying all applicable taxes.

6. Acceptable Use Policy

You agree not to use the Service to:

  • Violate any local, national, or international law or regulation
  • Infringe on the intellectual property rights of others
  • Transmit any harmful, threatening, abusive, defamatory, or otherwise objectionable content
  • Upload viruses, malware, or any malicious code
  • Attempt to gain unauthorized access to the Service, other user accounts, or our systems
  • Interfere with or disrupt the integrity or performance of the Service
  • Use automated scripts, bots, or web scrapers to access the Service without authorization
  • Reverse engineer, decompile, or disassemble any part of the Service
  • Resell, sublicense, or redistribute the Service without our written permission
  • Use the Service to send spam, unsolicited advertising, or phishing content
  • Impersonate another person or entity
  • Collect or store personal data of other users without their consent

We reserve the right to investigate and take appropriate legal action against anyone who violates this Acceptable Use Policy, including suspending or terminating accounts and reporting violations to law enforcement authorities.

7. Intellectual Property Rights

7.1 Our Intellectual Property

The Service, including its source code, design, user interface, features, functionality, branding, logos, and documentation, is owned by GRE Development Ltd. and is protected by copyright, trademark, and other intellectual property laws.

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal or internal business purposes.

7.2 Your Content

You retain all ownership rights to the content you create, upload, or store in the Service, including tasks, comments, attachments, and workspace data ("Your Content").

By uploading Your Content to the Service, you grant us a limited, worldwide, non-exclusive license to use, store, and process Your Content solely for the purpose of providing and improving the Service. This license terminates when you delete Your Content or your account.

You represent and warrant that you own or have the necessary rights to upload Your Content and that Your Content does not infringe on the intellectual property rights of any third party.

7.3 Feedback

If you provide us with feedback, suggestions, or ideas about the Service, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use, modify, and incorporate such feedback into the Service without any obligation to compensate you.

8. Data Ownership and Backup Responsibility

8.1 Your Data

You retain full ownership of all data you create, upload, or store in the Service. We do not claim any ownership rights to your tasks, comments, attachments, or workspace data.

8.2 Data Export

You may export your tasks in CSV format at any time from the app settings (Settings → Import/Export). This export includes task titles, descriptions, statuses, priorities, due dates, and assignments.

8.3 Backup Responsibility

We do not maintain automated database backups. All deletions are permanent and irreversible. You are solely responsible for backing up your data by regularly exporting it using the tools provided in the app.

We are not liable for any data loss resulting from accidental deletion, account termination, system failures, security breaches, or any other cause. You acknowledge and agree that you use the Service at your own risk.

8.4 Data Retention After Account Deletion

When you delete your account, your personal data is immediately removed from our active databases. However:

  • Your comments and activity history remain visible (attributed to "Deleted User") to preserve workspace integrity and collaboration history for other members.
  • Billing records are retained for 7 years to comply with UK tax regulations.
  • We may retain anonymized aggregated data for analytics and service improvement.

9. Cancellation and Refund Policy

9.1 Cancellation

You may cancel your subscription at any time from the app settings or via the Stripe billing portal (Settings → Billing → Manage Subscription).

When you cancel your subscription, you will retain access to paid features until the end of your current billing period. After that, your workspace will automatically downgrade to the Free plan, and you will lose access to premium features (Calendar/Timeline views, API access, increased storage limits, etc.).

If your workspace exceeds Free plan limits (e.g., more than 200 tasks or 5GB storage), you will not be able to create new tasks or upload new files until you upgrade or reduce usage.

9.2 Refund Policy

All sales are final. We do not offer refunds for any subscription fees, including unused portions of monthly or yearly subscriptions.

If you believe you have been charged in error, please contact us at [email protected] within 7 days of the charge. We will investigate the issue and, at our sole discretion, may issue a refund if we determine the charge was made in error.

9.3 Billing Disputes

If you dispute a charge with your credit card provider or payment processor (a "chargeback"), we may suspend or terminate your account pending resolution of the dispute. If the chargeback is found to be fraudulent or unjustified, we reserve the right to permanently ban your account and pursue legal remedies.

10. Workspace Administration and Member Roles

10.1 Workspace Ownership

The user who creates a workspace is designated as the workspace "Owner". The Owner has full control over the workspace, including the ability to:

  • Manage workspace settings (name, icon, image)
  • Invite, remove, and manage member roles
  • Upgrade, downgrade, or cancel the workspace subscription
  • Delete the workspace permanently
  • Transfer ownership to another member

10.2 Member Roles

Workspaces support the following member roles:

  • Owner: Full administrative privileges and billing control.
  • Admin: Can manage workspace settings, members, and content, but cannot delete the workspace or modify subscription billing.
  • Member: Can view workspaces, create and edit tasks, comment, and collaborate. Cannot manage workspace settings or members.
  • Viewer: Read-only access. Can view tasks and comments but cannot create or edit content.

10.3 Workspace Invitations

Workspace Owners and Admins may invite other users via email. Invitation links expire after 7 days. The invited user must create an Arca account (or log in with an existing account) to accept the invitation.

10.4 Leaving or Removing Members

Members may leave a workspace at any time. Their contributions (tasks, comments) will remain in the workspace but will be attributed to their name. Owners and Admins may remove members at any time, and removed members immediately lose access to the workspace.

11. Privacy and Data Protection

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information. By using the Service, you consent to the data practices described in the Privacy Policy.

We process your data in accordance with GDPR, UK GDPR, and CCPA regulations. Your data may be transferred to and processed in countries outside the UK and European Economic Area (EEA), including the United States, where our third-party service providers operate.

12. Third-Party Integrations

12.1 Google OAuth and Calendar

The Service offers optional integration with Google services for authentication (Google Sign-In) and calendar synchronization (Google Calendar). When you connect these services, you grant Arca read-only access to your Google Calendar events. We cache calendar data temporarily to display it in the app.

Your use of Google services is governed by Google’s Terms of Service and Privacy Policy. We are not responsible for the practices or policies of Google.

12.2 Stripe Payment Processing

All payment processing is handled by Stripe. When you subscribe to a paid plan, you agree to Stripe’s Terms of Service. We do not store your credit card information on our servers.

12.3 Other Third-Party Services

The Service uses the following third-party services to operate:

  • Cloudflare R2: File storage for task attachments
  • Brevo (Sendinblue): Transactional email delivery (OTP codes, password resets, invitations)
  • Greip: Email validation and fraud prevention during registration

We are not responsible for the availability, performance, or data handling practices of these third-party services. Your use of the Service constitutes acceptance of these third-party dependencies.

13. Service Availability and Maintenance

13.1 Uptime and Availability

We strive to provide reliable and continuous access to the Service. However, we do not guarantee uninterrupted availability. The Service may be temporarily unavailable due to:

  • Scheduled maintenance and updates
  • Emergency maintenance and security patches
  • Third-party service outages (Stripe, Cloudflare, Google, etc.)
  • Network connectivity issues
  • Server failures or technical difficulties

We will make reasonable efforts to notify users of scheduled maintenance in advance via email or in-app notifications.

13.2 Service Modifications

We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice. We may add new features, change existing features, or remove features entirely. We are not liable to you or any third party for any modification, suspension, or discontinuation of the Service.

14. Disclaimers and Limitation of Liability

14.1 No Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY.

We do not warrant that:

  • The Service will be error-free, uninterrupted, secure, or free from viruses or other harmful components
  • The results obtained from the use of the Service will be accurate or reliable
  • Any defects in the Service will be corrected
  • Your data will be secure or that data loss will not occur

You acknowledge that you use the Service at your own risk. No advice or information obtained from us or through the Service will create any warranty not expressly stated in these Terms.

14.2 Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, GRE DEVELOPMENT LTD. AND ITS OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AGENTS, LICENSORS, AND SUPPLIERS SHALL NOT BE LIABLE FOR:

  • Any indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, revenue, data, goodwill, or other intangible losses
  • Damages resulting from unauthorized access to or alteration of your data
  • Damages resulting from errors, bugs, viruses, or service interruptions
  • Damages arising from your reliance on the Service or inability to use the Service
  • Damages resulting from third-party services (Stripe, Google, Cloudflare, etc.)

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR £100 (WHICHEVER IS GREATER).

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities, so some of the above limitations may not apply to you. In such cases, our liability will be limited to the fullest extent permitted by applicable law.

15. Indemnification

You agree to indemnify, defend, and hold harmless GRE Development Ltd., its officers, directors, employees, contractors, agents, licensors, and suppliers from and against any claims, liabilities, damages, losses, costs, expenses (including reasonable attorneys’ fees) arising out of or related to:

  • Your use or misuse of the Service
  • Your violation of these Terms
  • Your violation of any law, regulation, or third-party right
  • Your Content, including any infringement of intellectual property rights
  • Your interactions with other users of the Service

We reserve the right to assume the exclusive defense and control of any matter subject to indemnification by you, in which case you agree to cooperate with our defense of such claim.

16. Termination

16.1 Termination by You

You may terminate your account at any time by deleting it from the app settings. Upon termination, your personal data will be deleted in accordance with our Privacy Policy and Section 8.4 of these Terms.

16.2 Termination by Us

We may suspend or terminate your account, with or without notice, if:

  • You violate these Terms or our Acceptable Use Policy
  • Your account is used for fraudulent, illegal, or abusive activity
  • We are required to do so by law or legal process
  • We decide to discontinue the Service entirely

If we terminate your account for cause, you will not be entitled to any refund of prepaid fees.

16.3 Effect of Termination

Upon termination, your license to use the Service immediately ends. All provisions of these Terms that by their nature should survive termination shall survive, including but not limited to ownership provisions, warranty disclaimers, indemnification, and limitations of liability.

17. Governing Law and Dispute Resolution

17.1 Governing Law

These Terms are governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law principles.

17.2 Jurisdiction

Any disputes arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of England and Wales. You agree to submit to the personal jurisdiction of these courts.

17.3 Informal Resolution

Before filing any legal claim, you agree to contact us at [email protected] and attempt to resolve the dispute informally. We commit to making a good faith effort to resolve disputes amicably within 30 days.

18. Changes to These Terms

We reserve the right to modify these Terms at any time. When we make significant changes, we will:

  • Update the "Last Updated" date at the top of this page
  • Notify you via email or in-app notification at least 14 days before the changes take effect
  • Request your consent if required by law

Your continued use of the Service after changes are posted constitutes your acceptance of the updated Terms. If you do not agree to the new Terms, you must stop using the Service and may delete your account.

19. General Provisions

19.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and GRE Development Ltd. regarding the Service and supersede all prior agreements, understandings, and communications.

19.2 Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions will continue in full force and effect.

19.3 Waiver

Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.

19.4 Assignment

You may not assign or transfer these Terms or your account to any third party without our prior written consent. We may assign or transfer these Terms or our rights and obligations under these Terms without restriction.

19.5 Force Majeure

We shall not be liable for any failure or delay in performing our obligations under these Terms due to circumstances beyond our reasonable control, including but not limited to acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.

19.6 Third-Party Beneficiaries

These Terms do not create any third-party beneficiary rights. No third party may rely on or enforce any provision of these Terms.
